The Producer grants the Music Buyer the rights contained here

  1. Definitions

    • "Derivative Work" means any work created by the adding vocals or additional instruments, editing, modification, adaptation and/or translation of the Music in any media
      For the avoidance of doubt, the synchronization of the Music in timed-relation with a moving image ("synching") will be considered a Derivative Work for the purpose of this Licence
    • "Music" means the musical composition protected by copyright which is offered under the terms of this licence
    • For the purpose of this licence, when not inconsistent with the context, words in the singular number include the plural number

  2. License Fee

    In consideration of this license, the Music Buyer shall pay the sale price of the music


  3. Warranty

    • The Producer warrants that the Producer is the owner or has been granted authority to license the Music on Firstdub and that all music files provided and used in accordance with this license agreement will not infringe any intellectual property rights
    • The Producer warrants that this agreement do not interfere with any legal representation of a publisher or record label representing the Music

  4. Licence Terms

    Upon payment the Producer hereby grants to the Music Buyer a worldwide, royalty-free, non-exclusive, licence for use and for the duration of copyright in the Music
    Or an Exclusive license for use when the music was purchased as an Exclusive


  5. The Music Buyer May:

    • Edit by cutting, stretching, looping etc
    • Create one or more Derivative Works e.g. adding vocals on an instrumental
    • Synchronize with multimedia productions e.g. animations, games, apps, film, TV and internet videos
    • Broadcast on cable, satellite and territorial television networks
    • Broadcast on Internet video websites and radio streams
    • Use for radio and television advertising
    • Use in student films and commercial productions, not exceed £1,000,000
      Productions over £1,000,000 requires an additional license direct from the Producer
    • Public performance or background music to paying and non-paying audience
    • Manufacture, duplicate or sell up to 5,000 units
      Units means products containing the music i.e. derivative works, games, audio books, apps and all other forms of media
      Units over 5,000 will require an additional license direct from the Producer
    • Unlimited use of the Music in accordance with this agreement

  6. The Music Buyer May Not:

    • Sell, transfer, sub-license, share, auction, give away or otherwise assign this license or the rights granted hereunder to any to any individual, third party or business
    • Sell the Music or make it available in any manner that would enable a third party to unauthorized use, distribution or download the Music as a separate file, such as in e-card templates, on FTP (file transfer) servers, file sharing networks or websites
    • Sell the Music or make it available as part of any competing product such as music compilation or music library
    • Claim to be the creator or copyright holder of the Music
    • Subject the Music to any derogatory treatment as defined in the Copyright, Designs and Patents Act 1988

  7. The Music Buyer must:

    • Credited by the Producer in any publishing, distribution, performance or otherwise disseminate to the public of their music
    • Submit a cue sheet to the appropriate Performance Rights Organization to report the usage when the music used in a public performance (such as television, film, radio)

  8. Disclaimer

    Except as required by law, the Music is licensed by the Producer on an "as is" and "as available" basis and without any warranty of any kind, either express or implied


  9. Limit of Liability

    The Music Buyer hereby agree to defend, indemnify and hold the Firstdub free and harmless against any and all claims, suits, liability, loss, damage, judgments, recoveries, costs, expenses and attorney's fees made or brought, paid, or incurred directly or indirectly by any party due to any breach or claim of breach of this License Agreement or in connection with the use of or copyright of the Music


  10. Termination

    The Producer reserves the right to terminate the license agreement immediately upon any breach by the Music Buyer of the terms of this Licence


  11. General

    • The validity or enforceability of the remaining terms of this agreement is not affected by the holding of any provision of it to be invalid or unenforceable
    • This Licence constitutes the entire Licence Agreement between the parties with respect to the Music licensed here. There are no understandings, agreements or representations with respect to the Music not specified here
    • This Licence shall be governed by the law of England and Wales and the parties irrevocably submit to the exclusive jurisdiction of the Courts of England and Wales
